Terms of Service
Please read these Terms of Service ("Terms") carefully before using the EVA website or service. By submitting an application or accessing the EVA platform, you agree to be bound by these Terms. If you do not agree, do not use the service.
1. The Service
EVA is an invitation-only, subscription-based suite of intelligent AI agents ("Service") provided by Habilesoft India Private Limited, a company incorporated under the laws of India ("EVA", "we", "us").
The Service assigns a calibrated team of AI agents to act as a private executive assistant across your business operations, including scheduling, research, delegation, communication drafting, and workflow automation, delivered through a secure private channel.
2. Eligibility and Invitation
Access to EVA is strictly by invitation. Submitting an application does not guarantee membership. EVA reserves the right to accept or decline any application at its sole discretion. Membership may be revoked at any time for violation of these Terms or for conduct incompatible with the service's standards.
3. Account and Confidentiality
Members are responsible for maintaining the confidentiality of their access credentials. All interactions through the EVA channel are confidential. You agree not to disclose, reproduce, or distribute outputs, communications, or operational details of the Service to third parties without prior written consent from EVA.
4. Acceptable Use
You agree not to use the Service to:
- Engage in any unlawful activity or facilitate illegal conduct
- Transmit malicious code or attempt to compromise system integrity
- Circumvent security controls or attempt unauthorised access
- Generate, store, or distribute content that is defamatory, fraudulent, or harmful
- Resell, sublicense, or transfer access to any third party
- Use the Service to compete with EVA or to develop a competing product
5. Intellectual Property
All intellectual property rights in the Service, the EVA platform, branding, and associated materials vest in EVA or its licensors. Nothing in these Terms grants you any ownership or licence rights beyond the limited right to use the Service for your own internal business purposes.
Any content, data, or outputs generated by the Service on your behalf remain your property, subject to the confidentiality obligations above.
6. Fees and Payment
Membership fees are set out in your individual membership agreement. Fees are invoiced in advance and are non-refundable except where required by applicable law. EVA reserves the right to adjust pricing with 30 days' written notice. Continued use of the Service after a pricing change constitutes acceptance of the new fees.
7. Term and Termination
These Terms remain in force for the duration of your membership. Either party may terminate the membership with 30 days' written notice. EVA may suspend or terminate access immediately upon material breach of these Terms, non-payment, or conduct deemed harmful to the Service or its members.
On termination, your access to the Service will cease and EVA will handle your data in accordance with the Privacy Policy.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available". EVA makes no warranties, express or implied, regarding the accuracy, completeness, reliability, or suitability of the Service for any particular purpose. AI-generated outputs should be reviewed by a qualified professional before being acted upon in material business decisions.
9. Limitation of Liability
To the maximum extent permitted by applicable law, EVA's aggregate liability for any claim arising out of or in connection with the Service shall not exceed the fees paid by you in the three months preceding the event giving rise to the claim.
EVA shall not be liable for indirect, consequential, incidental, or punitive damages, loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.
10. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Jaipur, Rajasthan, India, unless mandatory consumer protection law in your country of residence requires otherwise.
11. Changes to These Terms
EVA may revise these Terms at any time. Material changes will be communicated with at least 14 days' notice. Continued use of the Service after the effective date constitutes acceptance.
12. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
